License Transfer Confirmation

1. You (“Licensee”) agree to deactivate and stop using the licenses (“Old Licenses”) issued by Riverbed for the product with the serial number referenced herein; Furthermore, Licensee agrees to delete the license key and/or token issued for such licenses from its systems.
2. Upon Licensee’s acceptance of the terms herein, Riverbed will issue to Licensee the same licenses or, if applicable and approved by Riverbed, different licenses (“Replacement Licenses”) on another serial number to be provided by Licensee or, where applicable, on the same serial number.  If Licensee previously installed an enhanced cryptography license key (“SSL Key”) on the Old License, the SSL Key will not be automatically provided with the Replacement License.  Licensee will need to request a new SSL Key using Riverbed’s standard SSL Key request system.
3. Any use by Licensee of the Replacement Licenses issued by Riverbed shall be subject to Riverbed’s license agreement located at https://www.riverbed.com/license.  Licensee agrees that, not more than once in a calendar year, Riverbed may audit Licensee’s use of the Old Licenses.  Licensee agrees to pay for the Replacement Licenses and the associated annual support fees if it is determined during such audit that Licensee used any of the Old Licenses following Riverbed’s issuance of the Replacement Licenses. Such payment shall also include back support fees plus 20% penalty for any lapsed support period, which period shall start as of the date of Riverbed’s issuance of the Replacement Licenses.
